By using the Access Code provided to me by Securian Financial Group, Inc. (“Securian Financial”) or any of its affiliates, including any Securian Financial business partner, vendor, or independent contractor general agency, and accessing the Securian Financial Brand Center Website (the “Site”) I acknowledge and agree to the following terms.  If I am accessing this site on behalf of my employer, I represent that I have full authority to bind my employer to these terms and the terms “I”, “me”, or “my” shall mean my employer.  If I do not agree with these terms, then I will not access the Site or download any Content.

The Site is owned and operated by Securian Financial.  Within the Site I will be able to access and download certain Securian Financial logos, templates, and other materials (“Content”).  This Content is Securian Financial’s intellectual property that may be trademarked or copyrighted, and all rights, title, and interest to the Content is reserved to Securian Financial.  By downloading and using any Content from the Site, Securian Financial is granting me a personal non-transferable, non-assignable, and non-exclusive license to that Content.  Any rights not expressly granted to me remain with Securian Financial and any goodwill arising out of the use of the Content shall belong exclusively to Securian Financial.

I will only download and use Content in compliance with the terms of the agreement in place between me and Securian Financial or, if there is no such agreement, as otherwise indicated to me in writing or as expressly permitted by the Site.  I will stop using any of the Content from the Site immediately upon the sooner of Securian Financial’s request or the termination of the contractual relationship between me and Securian Financial.  I am solely and exclusively responsible for the download and use of Content from the Site and shall defend and indemnify Securian Financial from and against all losses, damages, liabilities, actions, claims, suits, proceedings, judgments, awards, penalties, fines, costs or expenses of whatever kind, including reasonable attorneys' fees arising out of or resulting from my misuse of the Content or breach of these terms.
